The engine

Built like infrastructure. Reviewed like a partnership.

Six pipelines, one signed opinion. Every number traces to a citation; every output is reviewed by a senior IP partner before delivery.

01 · cap_table

Cap-table management

Maintain a single source of truth for your cap table — share classes, SAFEs, options, vesting, and waterfalls — and re-run valuations the moment anything changes.

  • SAFE / preferred waterfalls
  • Option pools & vesting
  • 409A re-runs on material events
02 · comparables

Retrieval-ranked comps

Vector search over licensing databases, M&A disclosures, and court-determined royalties — every comp tied back to a primary source.

  • 1.2M+ licensing records
  • SEC EDGAR filings
  • USPTO & EPO
03 · models

OPM · PWERM · Hybrid

Option-Pricing Method, Probability-Weighted Expected Return, and Hybrid allocations run in parallel — the engine selects the standard of value that fits your facts.

  • OPM (Black-Scholes)
  • PWERM scenarios
  • DLOM (Finnerty / Chaffe)
04 · monte_carlo

10,000-path simulation

Risk-adjusted DCFs run thousands of forward scenarios across royalty rates, adoption curves, exit timing, and discount rates with explainable outputs.

  • Stochastic σ & drift
  • Sensitivity tornado
  • Per-tranche distributions
05 · partner_review

Human in the loop

A senior IP partner reviews every assumption, reconciles methods, and authors the opinion. The AI accelerates the work — the partner owns the signature.

  • Reasoned opinion letter
  • Reviewer audit trail
  • Daubert-grade evidence
06 · evidence

Audit-ready workpaper

One-click export of a defensible workpaper for auditors, regulators, and counterparties — every number backed by a source, every assumption versioned.

  • Independent-appraisal presumption Methodology, qualifications, and independence documented per §1.409A-1(b)(5)(iv)(B)(2)(iii).
  • ASC 820 fair-value alignment Level 1 / 2 / 3 inputs disclosed; principal-market and highest-and-best-use analyses included.

Methodology

Three approaches. One signed opinion.

The classical valuation framework, executed at the speed of software. Income, market, and cost approaches run in parallel and are cross-reconciled by a partner before sign-off.

income

Discounted cash flow & relief-from-royalty

Forward cash flows discounted at a risk-adjusted rate; for IP, an imputed royalty stream the asset would otherwise pay to license in.

FMV = Σ (CFt · (1 - τ)) / (1 + r)t
market

Comparable transactions & royalty rates

Multiples and royalty rates from observed licensing, M&A, and court-determined comps — LLM-ranked for technical and economic fit.

FMV ≈ Multiple(compi) · KPI(target)
cost

Reproduction & replacement cost

What it would cost to recreate the asset today — with adjustments for obsolescence, useful life, and remaining advantage period.

FMV = ReproCost − (Phys + Func + Econ obsolescence)
